Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and Kindness Harmony LLC, a Wyoming Limited Liability Company ("Company," "we," "us," or "our"), governing your access to and use of the kindness-harmony.com website (the "Site") and our consulting services (the "Services").

By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

Services Description

Kindness Harmony LLC provides technology consulting services including, but not limited to:

• Fractional CTO and technical leadership services
• AI and innovation consulting
• Software architecture design and review
• Team building and mentorship
• Technical due diligence and advisory

The specific scope, deliverables, timeline, and fees for Services will be defined in a separate Statement of Work ("SOW") or consulting agreement executed by both parties.

Engagement Terms

Proposals and Agreements

All consulting engagements require a signed SOW or consulting agreement that specifies the scope, deliverables, fees, and other material terms. These Terms supplement but do not replace any such agreements.

Fees and Payment

Fees for Services will be as specified in the applicable SOW. Unless otherwise agreed:

• Invoices are payable within 14 days of receipt
• Late payments may incur interest at 1.5% per month
• All fees are exclusive of applicable taxes
• Expenses will be reimbursed as agreed in the SOW

Intellectual Property

Client Materials

You retain all ownership rights to materials, data, and intellectual property you provide to us ("Client Materials"). You grant us a limited license to use Client Materials solely to perform the Services.

Deliverables

Unless otherwise specified in the SOW, upon full payment, you will own all deliverables created specifically for you during the engagement. We retain ownership of our pre-existing tools, methodologies, and know-how, which may be licensed to you as needed.

Website Content

All content on this Site, including text, graphics, logos, and design, is the property of Kindness Harmony LLC and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation survives termination of any agreement for a period of three (3) years. Confidential information does not include information that:

• Is or becomes publicly available through no fault of the receiving party
• Was already known to the receiving party prior to disclosure
• Is independently developed without use of confidential information
• Is disclosed with the prior written consent of the disclosing party

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF CAUSE OF ACTION.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Kindness Harmony LLC and its members, managers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms or any applicable SOW
• Your use of our Services or Site
• Your violation of any third-party rights

Termination

Either party may terminate an engagement as specified in the applicable SOW. Upon termination, you shall pay for all Services rendered through the termination date. Provisions that by their nature should survive (including confidentiality, intellectual property, limitation of liability, and indemnification) shall survive termination.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Wyoming or remotely at the Company's discretion.

Independent Contractor

Kindness Harmony LLC operates as an independent contractor. Nothing in these Terms or any SOW creates an employment, partnership, joint venture, or agency relationship between the parties. We maintain full control over the manner and means of performing Services, subject to mutually agreed deliverables and timelines.

Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of our Site or Services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Entire Agreement

These Terms, together with any applicable SOW or consulting agreement, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior discussions, negotiations, and agreements.
